Terms of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User”, “you”, or “your”) and Trade Digital LLC (“Company”, “we”, “us”, or “our”), a Delaware limited liability company, governing your access to and use of the Interprivo platform at https://interprivo.net (the “Service”). By creating an account or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms.

1. Eligibility

You must be at least 18 years of age and have the legal authority to enter into binding contracts to use the Service. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Account Registration & Security

You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately at support@interprivo.net if you suspect any unauthorized access to your account. We are not liable for any losses arising from your failure to protect your credentials.

3. Subscription Plans & Billing

Interprivo offers subscription plans billed on a monthly or annual cycle, as selected during signup. Each plan includes a set number of translation minutes. Your subscription automatically renews at the end of each billing period unless you cancel prior to the renewal date.

Metered Overage: Translation minutes consumed beyond your plan’s included allocation are billed at the applicable per-minute overage rate, as published on the Pricing page. Overage charges are calculated at the end of your billing cycle and charged to your payment method on file.

All fees are exclusive of applicable taxes. You are solely responsible for any taxes, duties, or levies imposed by your jurisdiction. We use a PCI-DSS compliant third-party payment processor and do not store your full credit card details on our servers.

4. Refund Policy

Subscription fees are generally non-refundable. However, if you believe you were charged in error, please contact us within 14 days of the charge at support@interprivo.net and we will review your case in good faith. We reserve the right to issue refunds at our sole discretion.

5. Acceptable Use Policy

You agree not to use the Service to:

• Transmit, store, or promote any content that is unlawful, harmful, defamatory, obscene, or otherwise objectionable.
• Facilitate illegal surveillance, wiretapping, or unauthorized recording of third-party communications without their consent.
• Use the Service without providing legally required notices or obtaining any necessary consents for recording, transcription, interpretation, monitoring, or transfer of communications to our service providers.
• Attempt to reverse-engineer, decompile, or disassemble any component of the platform, including audio processing pipelines or AI inference systems.
• Use automated scripts, bots, or crawlers to abuse the platform or cause disproportionate load on our infrastructure.
• Resell or sublicense access to the Service without our express written permission.
• Impersonate any person, organization, or entity in a misleading or fraudulent manner.

Violation of this policy may result in immediate suspension or termination of your account without refund.

6. Service Availability & SLAs

We target 99.9% monthly uptime for all paid subscription tiers and 99.95% for Enterprise plans. Scheduled maintenance windows, force majeure events, and failures attributable to third-party infrastructure or your own network are excluded from uptime calculations. Enterprise customers may be eligible for service credits as defined in their Enterprise Agreement.

7. Intellectual Property

All intellectual property rights in and to the Interprivo platform, including but not limited to software, algorithms, user interface designs, and brand assets, are and remain the exclusive property of Trade Digital LLC. These Terms do not grant you any ownership rights in our intellectual property.

You retain ownership of the content you submit to the Service and of workspace outputs generated for your organization, including transcripts, summaries, and recordings or recording metadata created by enabled features. By using the Service, you grant us and our subprocessors a limited, non-exclusive license to host, transmit, transcribe, translate, summarize, synthesize, analyze, and otherwise process that content solely as needed to operate, secure, support, and deliver the Service.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY OF TRANSLATIONS, AND NON-INFRINGEMENT.

AI-generated translations may contain errors or inaccuracies. Interprivo translations should not be relied upon as the sole basis for critical medical, legal, or financial decisions without independent professional verification.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TRADE DIGITAL LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE FEES PAID BY YOU IN THE THREE (3) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

10. Indemnification

You agree to indemnify, defend, and hold harmless Trade Digital LLC and its officers, directors, employees, and agents from any claims, liabilities, damages, and costs (including reasonable legal fees) arising from (a) your use of the Service, (b) your violation of these Terms, or (c) any content you transmit through the Service.

11. Termination

You may cancel your subscription and close your account at any time via your dashboard settings. We reserve the right to suspend or terminate your account immediately, with or without notice, for violation of these Terms or for any other reason at our sole discretion. Upon termination, your right to access the Service ceases immediately.

Termination or deletion of an individual user account does not automatically delete organization-owned workspace records. Depending on your organization's settings and applicable legal requirements, session records, transcripts, summaries, recordings or recording URLs, billing records, and audit logs may remain under the organization's control or within required retention periods after a user's access ends.

12. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles. Any dispute arising from these Terms shall be resolved exclusively through binding arbitration administered in Delaware, except that either party may seek injunctive relief in a court of competent jurisdiction to protect intellectual property rights.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or via a prominent notice on the platform at least 14 days before the effective date. Your continued use of the Service after the effective date constitutes your acceptance of the updated Terms. If you do not agree to the new Terms, you must stop using the Service and cancel your subscription.
